One counsel to close the deal and mitigate the tax.
Crowne Point Tax & Wealth Counsel is a tax and securities law firm for business owners and pre-IPO founders. We put tax law and securities law at the same table, with CPAs on staff, so your company gets one plan instead of three opinions.

Nikhil (Nik) Agharkar, Esq.
Nik Agharkar is a tax and securities attorney admitted in California, New York and New Jersey, and a graduate of Carnegie Mellon University, where he earned his degree in Economics. He founded Crowne Point Tax & Wealth Counsel so business owners could get the legal answer and the tax answer to their biggest decisions from the same advisor.
His practice centers on companies raising capital and owners preparing to exit. He structures and papers Regulation A offerings, which let growing companies raise money from the public without a full IPO; Regulation D private placements, including the special purpose vehicles used to pool investors into a single deal; and the corporate and tax work that gets a business ready for a sale, a SPAC merger, or a public listing. He also serves as fractional general counsel to companies that need senior legal judgment on a standing basis but not a full-time legal department, a role he has filled for investment banks as well as operating businesses.
Every one of those transactions is a tax event. Nik leads a team that includes CPAs, so the deal structure, the returns, and the tax plan are built together rather than reconciled after the fact. Twenty years in tax law have left him with a simple view of the code: it is a set of incentives, and the job is helping clients take the ones that were written for them.
Who you'll work with.
Counsel and CPAs working together on every engagement.

On the floor and on the record.
Nik speaks and publishes on tax and capital-markets topics for business owners and founders, including a visit to the floor of the New York Stock Exchange.
Why one firm for both.
The biggest decisions a growing company makes, like raising capital, reorganizing or selling, are legal and tax decisions at the same time. When those sit with separate advisors, each one gets optimized on its own and the gaps between them cost the owner.
We built the firm so they don't sit apart. Securities work, corporate counsel and tax planning come from the same team, led by an attorney.
How we work.
You work with Nik directly, not a rotating cast of associates. Most clients start with a defined project, like a raise, a reorganization or an exit, and can continue as a fractional general counsel retainer.

- Engage: a defined scope, then counsel that stays as the company grows
